Henry Schein Holds Annual Meeting of Stockholders
MELVILLE, N.Y.--(BUSINESS WIRE)--May 24, 2005--Henry Schein, Inc. (Nasdaq NM: HSIC), the largest provider of healthcare products and services to office-based practitioners in the combined North American and European markets, today held its Annual Meeting of Stockholders in New York City. Four items of business were conducted at the meeting.
Election of Directors to the Board
At the meeting, Henry Schein stockholders elected 13 directors who stood for election to the Company's Board of Directors, each for a term of one year, as follows:
-- Stanley M. Bergman, Chairman and Chief Executive Officer; -- Barry J. Alperin, retired Vice Chairman of Hasbro; -- Gerald A. Benjamin, Executive Vice President and Chief Administrative Officer; -- James P. Breslawski; President and Chief Operating Officer; -- Paul Brons, former member, Board of Management of Akzo Nobel and former President, Organon International, an Akzo pharmaceutical business unit. -- Dr. Margaret Hamburg, former Assistant Secretary, Planning & Evaluation, U.S. Department of Health & Human Services, and former Commissioner of Health for the City of New York; -- Donald J. Kabat, retired Partner, Accenture; -- Philip A. Laskawy, retired Chairman, Ernst & Young; -- Norman S. Matthews, former President, Federated Department Stores; -- Mark E. Mlotek, Executive Vice President, Corporate Business Development; -- Steven Paladino, Executive Vice President and Chief Financial Officer; -- Marvin H. Schein, Founder, Schein Dental Equipment; and, -- Dr. Louis W. Sullivan, former U.S. Secretary of Health & Human Services, and the Founding Dean, Director and President Emeritus of the Morehouse School of Medicine.

Additional Items of Business
In addition to the election of the Board of Directors, stockholders approved proposals to amend the Henry Schein, Inc. Section 162(m) Cash Bonus Plan; to amend the Company's Certificate of Incorporation to increase the number of shares of common stock that the Company is authorized to issue; and to ratify the selection of BDO Seidman as independent registered public accounting firm for the Company for the fiscal year ending December 31, 2005.
